Who This Is For

Accordable is designed for:

  • Organizations of all sizes that manage signed contracts
  • Businesses and nonprofits that want better visibility into obligations, renewals, and risks
  • Teams that need post-execution contract intelligence without dedicated legal infrastructure

Who This Is Not For

Accordable is not intended to:

  • Replace legal counsel
  • Make legal determinations or decisions for you
  • Be the sole source of truth without human review
  • Guarantee legal compliance or outcomes

You are responsible for reviewing contracts and confirming all AI-generated information.

How AI Is Used

  • Accordable uses AI to summarize contracts and extract key information.
  • AI is probabilistic and can make mistakes.
  • All AI output must be reviewed against the original contract.
  • Any draft notices, summaries, or insights are provided for convenience only.

Your Data

  • You own all contracts and data you upload.
  • Your data is not used to train public AI models.
  • You control user access, roles, and permissions.
  • You may export or delete your data at any time.

Security at a Glance

  • Contracts are encrypted in transit and at rest.
  • Two-factor authentication available via authenticator app (TOTP) or SMS.
  • Access is controlled through role-based permissions.
  • All activity is logged with audit trails.

Billing & Subscriptions

  • Plans are billed monthly and renew automatically unless canceled.
  • Fees are non-refundable.
  • You may upgrade or downgrade plans at any time.

If Something Goes Wrong

  • Accordable's total liability is limited to the fees you paid in the prior six months.
  • We are not responsible for indirect or consequential losses.
  • If you are dissatisfied, your primary remedy is to cancel the service.

Termination & Data Retention

  • Either party may terminate the agreement as outlined in the Terms.
  • After termination, your data may be deleted following a short retention period.

Disputes

  • The agreement is governed by California law.
  • Disputes are resolved through binding arbitration rather than court proceedings.

This Master Subscription Agreement ("Agreement") is a binding legal contract between Accordable, LLC ("Provider," "we," "us") and the entity or individual subscribing to the Service ("Subscriber," "you").

By creating an account, uploading documents, or paying for the Service, you agree to be bound by these terms.

1. Definitions

  • "Service" means the web-based contract repository application, including the AI-powered extraction tools, dashboards, and notification systems provided by Provider.
  • "User Data" means all PDF documents, text, and metadata uploaded by Subscriber to the Service.
  • "AI Output" means the dates, financial figures, and summaries extracted from User Data by the Service's artificial intelligence engine.
  • "Fair Use Credit" means the processing unit used to measure usage limits. One (1) Credit is defined as the processing of a document up to 50 pages in length. Documents exceeding 50 pages consume additional credits per 50-page increment.

2. The Service

2.1 Grant of License

Subject to payment of fees, Provider grants Subscriber a non-exclusive, non-transferable, revocable right to access and use the Service for internal business purposes.

2.2 Service Availability

Provider uses commercially reasonable efforts to keep the Service available 24/7/365, excluding planned downtime.

2.3 Third-Party Infrastructure

Subscriber acknowledges that the Service runs on third-party cloud infrastructure (Google Cloud Platform) and utilizes third-party AI services (Google Gemini). Provider is not liable for outages or changes to these third-party services.

2.4 Scope of Service — Bilateral Contracts

The Service is designed and optimized for standard bilateral (two-party) commercial contracts. Subscriber acknowledges that multi-party agreements, consortium contracts, and joint venture agreements involving three or more parties are outside the intended scope of the Service and may produce incomplete or inaccurate AI Output. Provider makes no representations regarding the accuracy or completeness of analysis performed on multi-party documents. Subscriber assumes all risk associated with uploading and relying on analysis of non-bilateral contract documents.

3. Fees and Billing

3.1 Subscription

Subscriber agrees to pay the fees associated with their selected subscription plan. Subscription plans scale by active contract volume, number of authorized users, and feature access. Current plan details and pricing are available at accordable.ai/pricing or upon request. Provider reserves the right to modify pricing with reasonable advance notice to Subscribers.

3.2 Intelligence Packs

Provider offers optional Intelligence Pack add-on modules that provide domain-specific contract extraction and portfolio analytics (e.g., Loan Intelligence, Commercial Lease Intelligence, Trust Intelligence, NIL Intelligence). Intelligence Packs are subject to additional fees as specified at the time of activation.

3.3 Plan Changes

Subscriber may upgrade to a higher plan at any time. Provider reserves the right to introduce usage limits or require upgrades for high-volume usage in the future, with reasonable notice to affected Subscribers.

3.4 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours prior to renewal. Payments are non-refundable.

4. Artificial Intelligence & Accuracy Disclaimer

4.1 Informational Purpose Only

The Service uses artificial intelligence to attempt to identify key dates and data points ("AI Output"). Subscriber acknowledges that AI technology is probabilistic and may produce errors ("hallucinations").

4.2 Duty to Verify

Subscriber agrees that they are solely responsible for verifying the accuracy of all AI Output against the original User Data.

4.3 No Legal Advice

ACCORDABLE IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL ADVICE. The Service is a software tool designed to assist with contract organization, deadline tracking, and document analysis. It is not a substitute for the professional judgment of a licensed attorney.

The AI-generated summaries, extracted terms, notification reminders, draft letters, and any other outputs provided by the Service are for informational and administrative convenience purposes only. They do not constitute legal advice, legal opinion, or legal representation.

Subscriber acknowledges that they should consult with qualified legal counsel for any legal questions, contract negotiations, dispute resolution, or decisions regarding their contractual obligations or rights. Provider expressly disclaims any liability arising from Subscriber's reliance on the Service as a substitute for professional legal advice.

4.4 Notice Templates

Provider offers notice templates and AI-generated notice drafts for convenience only. Subscriber is solely responsible for confirming that the delivery method, timing, and content of any notice sent via or drafted by the Service strictly complies with the underlying contract requirements. Provider makes no representations regarding the legal sufficiency of any notice template or draft.

4.5 Waiver of AI-Related Claims

SUBSCRIBER EXPRESSLY WAIVES ANY CLAIM ARISING FROM INACCURATE AI OUTPUT, INCLUDING BUT NOT LIMITED TO MISSED DEADLINES, INCORRECT FINANCIAL DATA, OR FAILED NOTIFICATIONS. SUBSCRIBER'S SOLE REMEDY FOR AI ERRORS IS TO DISCONTINUE USE OF THE SERVICE.

5. Data Security & Ownership

5.1 Ownership

Subscriber retains all rights, title, and interest in their User Data. Provider acquires no rights in User Data except to operate the Service.

5.2 Security

Provider utilizes industry-standard encryption for data at rest and in transit. However, Subscriber acknowledges that no system is 100% secure.

5.3 AI Training

Provider warrants that it utilizes enterprise-grade API settings intended to prevent Subscriber User Data from being used to train public AI models.

6. User Obligations

6.1 Prohibited Data

Subscriber represents and warrants they will not upload:

  • (a) Protected Health Information (PHI) subject to HIPAA (unless a separate BAA is signed).
  • (b) Unredacted government IDs, financial account numbers, or sensitive authentication credentials.
  • (c) Illegal, infringing, or malicious content.

7. Limitation of Liability

7.1 Cap on Damages

IN NO EVENT SHALL PROVIDER'S AGGREGATE LIABILITY ARISING OUT OF THIS AGREEMENT EXCEED THE TOTAL AMOUNT PAID BY SUBSCRIBER TO PROVIDER IN THE SIX (6) MONTHS PRECEDING THE INCIDENT.

7.2 Consequential Damages

PROVIDER SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, OR DATA.

8. Term and Termination

8.1 Termination for Cause

Either party may terminate this Agreement immediately if the other party breaches a material term.

8.2 Effect of Termination

Upon termination, Subscriber's right to access the Service ceases. Provider may delete User Data 30 days after termination.

9. General

9.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflicts of law principles.

9.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity thereof, shall be finally resolved by binding arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules. The arbitration shall take place in El Dorado County, California. The arbitrator's award shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction. Each party waives any right to a jury trial.

9.3 Subscriber Verification Requirement

Subscriber represents and warrants that: (a) they have the legal authority to bind the organization on whose behalf they are subscribing; (b) all registration information provided is accurate and complete; and (c) they will maintain the accuracy of such information. Provider reserves the right to verify Subscriber identity and organizational affiliation at any time.

9.4 Entire Agreement

This Agreement, together with the Privacy Policy, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings.
