Pilot Program Participant Addendum

1. About This Addendum

This Pilot Program Participant Addendum ("Addendum") supplements and is incorporated into the Accordable Terms of Service ("Terms"). By applying to and participating in the Accordable Pilot Program, you ("Participant") agree to both the Terms and this Addendum. Where this Addendum conflicts with the Terms, this Addendum controls with respect to the Pilot Program.

Accordable, LLC ("Accordable," "we," "our," or "us") reserves the right to modify this Addendum at any time. We will notify Participants of material changes via email. Continued participation after notice constitutes acceptance of the updated terms.

2. Early-Access Software

The Accordable platform provided during the Pilot Program is early-access software. It may contain bugs, errors, or incomplete features. Accordable makes no representations that the platform will be error-free, uninterrupted, or meet any particular standard of performance during the pilot period.

Features, interfaces, pricing, and functionality are subject to change at any time. Accordable welcomes Participant feedback and may use that feedback to improve the product, but does not guarantee that any specific feature request will be implemented.

3. Billing and Payment Terms

3.1 Credit Card Collection

A valid credit card is required to enroll in the Pilot Program. Your credit card information is stored securely by our payment processor (Stripe) and is not stored on Accordable's servers. By providing your credit card at enrollment, you authorize Accordable to charge the card as described below.

3.2 Free First Month

Your first month of access is free. No charge will be made to your credit card during the first month of your Pilot Program participation regardless of your activity level.

3.3 Months 2 Through 6 — Commitment Path

If you fulfill all five Participant Commitments (Section 4) during your first month, months 2 through 6 will also be provided at no charge, for a total of six (6) free months of access. Accordable will notify you by email when your commitments have been verified.

3.4 Months 2 Through 6 — Non-Fulfillment Path

If you do not fulfill the Participant Commitments within your first month and choose to continue using the platform, your credit card will be charged $99 per month beginning at the start of month 2. By remaining enrolled after month 1 without fulfilling your commitments, you authorize these charges.

3.5 Cancellation

You may cancel your participation at any time before the end of month 1 at no charge. To cancel, contact us at hello@accordable.ai or use the cancellation option in your account settings. Cancellations take effect at the end of the current billing period. No refunds are issued for partial months after billing has commenced.

3.6 Post-Pilot Subscription

After the six-month pilot period ends, your account will transition to standard Accordable pricing unless you cancel. You will receive advance notice before any post-pilot charges are applied.

4. Participant Commitments

To fulfill the Pilot Program commitments and qualify for the free six-month subscription, Participants agree to complete all five of the following activities during the pilot period:

1. Schedule a kick-off call: Attend a scheduled product tour and onboarding briefing with an Accordable team member, during which your first contract will be loaded into the platform together.
2. Upload and verify contracts: Upload and verify a minimum of twenty (20) contracts in the Accordable platform. Contracts must be fully processed and verified, not merely uploaded.
3. Create a custom dashboard: Configure at least one custom dashboard within the platform reflecting your organization's contract portfolio.
4. Use the Intelligence Center: Submit at least one query to the Accordable Intelligence Center to explore AI-powered insights from your contract data.
5. Complete a feedback session: Participate in a scheduled thirty (30)-minute feedback call with an Accordable representative to discuss your experience, suggestions, and any challenges encountered.

Accordable reserves the right to verify completion of each commitment and to make reasonable determinations about whether commitments have been fulfilled in good faith.

5. Intellectual Property & Data Ownership

5.1 Feedback

Any ideas, suggestions, feedback, improvements, or other input you provide to Accordable during or in connection with the Pilot Program ("Feedback") may be used by Accordable without restriction, attribution, or compensation to you. You hereby assign to Accordable all rights, title, and interest in and to any Feedback.

5.2 Your Contracts & Data

6. Confidentiality

As a Pilot Program participant, you may have access to non-public features, pricing, product roadmap information, and other information that Accordable considers confidential ("Confidential Information"). You agree to:

• Keep Confidential Information confidential and not disclose it to third parties without Accordable's prior written consent;
• Use Confidential Information only for the purpose of participating in the Pilot Program;
• Not publish reviews, benchmarks, or public commentary about the platform's performance or features without Accordable's prior written consent during the pilot period.

This confidentiality obligation does not apply to information that is or becomes publicly available through no fault of your own.

7. Data Collection and Use

In addition to the data practices described in the Accordable Privacy Policy, Accordable may collect and analyze aggregated, anonymized usage data from Pilot Program participants to improve the platform, identify bugs, and understand how users interact with early-access features. Individual contract content and personal data will not be shared externally and will not be used to train public AI models.

8. No Warranties

THE PILOT PROGRAM PLATFORM IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ACCORDABLE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ACCORDABLE DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE OR UNINTERRUPTED DURING THE PILOT PERIOD.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ACCORDABLE'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE PILOT PROGRAM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO ACCORDABLE IN THE SIX (6) MONTHS PRECEDING THE CLAIM. BECAUSE THE PILOT PERIOD IS FREE OR SUBSTANTIALLY FREE, THIS AMOUNT MAY BE ZERO. IN NO EVENT SHALL ACCORDABLE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Termination

Accordable may terminate your Pilot Program participation at any time, with or without cause, upon notice to you. If Accordable terminates your participation without cause, any charges already applied will be refunded on a pro-rata basis. You may cancel your participation at any time as described in Section 3.5.

Upon termination, you will retain access to your data for thirty (30) days, after which it may be deleted in accordance with the Terms and Privacy Policy.

11. Governing Law

This Addendum is governed by the laws of the State of California, consistent with the Accordable Terms of Service. Disputes arising under this Addendum are subject to the dispute resolution provisions of the Terms.
